These Terms of Service (the "Terms") govern your access to and use of the Loquitur website (the "Service"). By accessing and using the Service, you accept and agree to be bound by these Terms. The Service is operated by Andrea Venè, a natural person in Italy (the "operator"); Loquitur is a project name, not a company.
1Acceptance of terms
By accessing and using the Loquitur website, you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree, you should not use the Service.
These Terms apply to the public preview website only. These Terms do not cover any other service. If one is offered, it will have its own terms.
2Description of the Service
Loquitur is a protocol project for checking the evidence behind fund NAVs and property valuations. The Service is a website that describes this work.
The protocol is published as an Alpha preview, version 0.1.0, in the repositories named on the developers page. Diagrams and examples on the Service explain how it works. No component is a production service, and the repositories prevail over any description on the Service.
3Preview status and no commercial offer
Nothing on the Service constitutes an offer of services, a commercial commitment, a guarantee of availability, a service-level agreement or a warranty of fitness for any purpose.
The Service does not claim an operated transparency log, live chain anchoring, a stable SDK or API, external audit, certification, a bug bounty or an enterprise service-level agreement. Status labels indicate what is and is not yet claimed.
Pages that describe the protocol say what the repositories contain and how the protocol is designed to work. Items marked Planned are designed and not built. The current state of each component is set out on the implementation status page, which prevails over any other description on the Service.
4No financial or investment advice
Nothing on the Service is investment, financial, valuation, tax, legal or regulatory advice, and nothing on it is a recommendation to issue, buy, sell, hold or trade any tokenized asset, security or financial instrument. You are solely responsible for obtaining independent professional advice before making any related decision.
5Intellectual property
Loquitur is the name of the project, run by Andrea Venè as a natural person. An EU trade mark application for LOQUITUR was filed on 19 October 2026; nothing is registered yet, so the name is shown without ™ or ®. The Service, including its text, diagrams, layout and visual design, is protected by intellectual property law. References to third-party names, technologies or organizations are illustrative and do not imply affiliation, sponsorship or endorsement.
6User conduct
You agree to use the Service only for lawful purposes. You are prohibited from violating or attempting to violate the security of the Service, including, without limitation:
- accessing data not intended for you;
- attempting to probe, scan or test the vulnerability of a system or network, or to breach security or authentication measures, except good-faith security research within the policy published in /.well-known/security.txt and reported to the operator before disclosure;
- using automated means to access the Service in a way that places an unreasonable load on it or ignores robots.txt;
- interfering with, disrupting or placing an unreasonable load on the Service or its infrastructure;
- misrepresenting the preview status of the project as a production or commercial commitment.
7Disclaimer of warranties
The Service is provided on an "as is" and "as available" basis. The operator makes no representations or warranties of any kind, express or implied, as to the operation of the Service or the information, content or materials included on it, including any implied warranties of merchantability, fitness for a particular purpose, accuracy or non-infringement.
8Limitation of liability
To the maximum extent permitted by applicable law, the operator shall not be liable for any damages of any kind arising from the use of this Service, including, but not limited to, direct, indirect, incidental, punitive and consequential damages, or for any loss arising from decisions made on the basis of preview content. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for wilful misconduct or gross negligence. Decisions about an implementation or an integration should not rest on the public preview Service.
9Changes to the Service and to these Terms
The Service is a preview, and its content, structure and availability may change, be suspended or be removed at any time without notice. The operator may modify these Terms at any time. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.
10Governing law
The operator is based in Italy, as set out in the Legal Notice. To the extent these preview Terms are enforceable, they are governed by Italian law and, where applicable, by European Union law, without prejudice to any mandatory consumer protections in your country of residence. If an operating entity is incorporated, its jurisdiction and dispute-resolution framework will be stated here.
